By using VSL Market ("the Platform"), you agree to these Terms. VSL Market provides social commerce and payment facilitation software that helps users list permitted items, interact with buyers, create payment requests, use virtual POS tools, receive supported payments, and view pay-in and payout records.
- Marketplace Tools: Users can publish listings, share offers socially, and allow buyers to comment, like, and interact.
- Payment Tools: Users can create payment requests, use virtual POS flows, and receive supported payments through VSL Market's payment infrastructure.
VSL Market is not the seller, buyer, escrow agent, or custodian of funds for user-to-user transactions unless a separate written agreement says otherwise.
- You must provide accurate account, identity, business, bank, and payout information when requested.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- Your saved primary bank account or supported payout destination must belong to you or your authorized business.
- You must not use VSL Market to mislead buyers, impersonate another person, or receive payment for unlawful or prohibited activity.
3.1 Merchant of Record
You are the merchant of record for sales you make to your buyers. You are solely responsible for:
- The legality, accuracy, quality, delivery, and availability of what you list or sell.
- Customer support, order fulfillment, returns, refunds, and after-sales service.
- Taxes, licenses, consumer protection duties, and compliance with laws that apply to your business.
- Any dispute, claim, or loss that arises from what you sold or promised to a buyer.
3.2 Social Interactions
Comments, likes, messages, and other marketplace interactions must be lawful, respectful, and accurate. You must not use social features to spam, deceive, harass, manipulate engagement, or misrepresent a product or payment purpose.
VSL Market facilitates supported payment processing and payout routing for users, including payment requests, virtual POS flows, virtual account details, and BTC/USDT payment options where available.
- Primary Bank Account: You may be required to save a primary bank account before receiving supported payouts.
- Virtual Account Routing: Where available, VSL Market may generate payment details that allow a buyer to pay you, after which the supported payout is automatically routed to your saved primary account.
- No Custody: VSL Market does not hold user funds as a wallet balance, escrow balance, or custodial account. Supported payouts are released by our system after successful payment confirmation.
- Bank & Network Timelines: Although VSL Market releases supported payouts instantly from our system, final receipt may be affected by local banking hours, payment partner processing, network issues, or the recipient bank.
- Country Availability: In-platform payment and payout rails currently focus on Nigeria. Users in other countries may use social selling, cash support, and direct bank payment arrangements where available, but those payments may not be processed through VSL Market's in-platform payout rails.
- You may connect supported social channels or share VSL Market listings and payment requests through external platforms.
- You are responsible for ensuring imported or shared content is accurate, lawful, and permitted by the source platform.
- External platforms, banks, payment partners, and networks may apply their own rules, limits, timelines, and availability restrictions.
6.1 Permitted Use
You may use VSL Market only for lawful, accurate, and permitted commerce. VSL Market may remove content, disable payment tools, restrict payout features, or suspend accounts that violate these Terms, our Acceptable Use Policy, payment partner rules, or applicable law.
- Accurate Listings: Product images, descriptions, prices, availability, and delivery promises must be truthful.
- Allowed Products: Prohibited, illegal, counterfeit, unsafe, or regulated items may not be listed or paid for through VSL Market.
- Payment Purpose: Payment requests must describe the real purpose of the payment and must not be used to hide prohibited activity.
6.2 Indemnification
You agree to defend, indemnify, and hold VSL Market harmless from claims, losses, damages, liabilities, penalties, or expenses arising from your listings, customer transactions, social content, payment requests, payout details, or violation of these Terms.
You may not use VSL Market to:
- Sell illegal, counterfeit, stolen, unsafe, restricted, or prohibited products or services.
- Engage in fraud, phishing, money laundering, sanctions evasion, terrorist financing, or deceptive payment activity.
- Use fake accounts, fake engagement, misleading comments, or manipulated listings.
- Scrape data, disrupt platform infrastructure, bypass security controls, or abuse virtual accounts and payment requests.
Violation of these Terms may result in content removal, payment-tool restrictions, account suspension, termination, and reporting where required.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VSL MARKET DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CONTINUOUS AVAILABILITY, AND ERROR-FREE OPERATION. VSL MARKET SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, YOUR LISTINGS, YOUR CUSTOMER TRANSACTIONS, PAYMENT PARTNER DELAYS, BANK NETWORK ISSUES, OR DIRECT ARRANGEMENTS BETWEEN YOU AND YOUR BUYERS.
These Terms are governed by the laws of the jurisdiction where VSL Market is incorporated, unless applicable consumer or regulatory law requires otherwise. Disputes involving VSL Market shall be resolved by the courts or dispute process available in that jurisdiction.
