By using VSL Market ("the Platform"), you agree to these Terms. VSL Market is a commerce platform focused on helping buyers discover, source from, and trade with African vendors, manufacturers, makers, suppliers, distributors, and service providers.
- For Buyers: You can discover African products, request quotes, compare vendors, communicate with sellers, and complete supported payments where available.
- For Vendors & Manufacturers: You can create a commerce profile, list products or services, receive buyer enquiries, respond to quote requests, share offers, and use supported payment tools.
- Platform Role: VSL Market provides marketplace, communication, discovery, payment-request, virtual POS, and payout-routing tools. VSL Market is not the buyer, seller, manufacturer, logistics provider, escrow agent, or custodian of funds unless a separate written agreement says otherwise.
- You must provide accurate account, contact, identity, business, bank, payout, and verification information when requested.
- If you register as a vendor, manufacturer, supplier, distributor, agent, or representative, you confirm that you have authority to act for that business.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- VSL Market may request additional verification before enabling listings, quote responses, payment tools, payout routing, or other commerce features.
- We may refuse, restrict, suspend, or terminate access where account information appears false, misleading, incomplete, high risk, or unlawful.
3.1 Accurate Listings and Offers
- Product names, images, descriptions, quantities, specifications, certifications, origin claims, prices, minimum order quantities, timelines, and availability must be truthful and current.
- You must not list counterfeit, stolen, unsafe, prohibited, restricted, or misleading products.
- You must clearly state whether an item is ready stock, made-to-order, custom manufactured, wholesale only, sample only, or subject to production lead time.
3.2 Merchant of Record
For sales you make through or because of VSL Market, you are the merchant of record unless another written agreement says otherwise. You are responsible for taxes, licences, product compliance, export/import duties, consumer protection obligations, fulfilment, returns, refunds, and disputes connected to your transaction.
3.3 Manufacturing and Production Commitments
If you accept deposits, purchase orders, sample requests, custom specifications, private-label instructions, or production timelines, you must honour the agreed scope or clearly communicate delays, changes, risks, and refund conditions before accepting payment.
- Buyers are responsible for reviewing vendor profiles, product details, specifications, quote terms, delivery terms, refund terms, and payment instructions before committing to a transaction.
- Buyers should request samples, certifications, photos, videos, references, or additional verification where needed before placing large or custom orders.
- Buyers must provide accurate shipping, billing, import, product-use, and business information.
- Buyers must not use VSL Market to request illegal products, evade sanctions, hide prohibited activity, or pressure vendors into false declarations.
VSL Market may provide discovery, messaging, quote, and payment records, but buyers and sellers are responsible for the commercial terms they agree with each other.
VSL Market may allow buyers to request quotes, vendors to respond, and users to compare offers or bid for opportunities. Quote and bid activity must be accurate, lawful, and commercially honest.
- Quotes should clearly state price, currency, product scope, quantity, minimum order quantity, taxes, delivery terms, production timeline, validity period, and refund or cancellation terms.
- A quote, message, comment, or bid does not become binding on VSL Market. Any commercial commitment is between the buyer and the vendor unless VSL Market signs a separate written agreement.
- Users must not manipulate bids, submit fake quotes, impersonate suppliers, inflate engagement, or misrepresent production capability.
VSL Market may support payment requests, virtual POS flows, virtual account details, direct-payment records, BTC/USDT options where available, and payout routing for eligible users.
- No Wallet or Escrow: VSL Market does not hold user funds as a wallet balance, escrow balance, or custodial account unless a separate written product or agreement expressly says so.
- Payout Routing: Supported payouts may be routed to a saved primary bank account or supported payout destination after payment confirmation and eligibility checks.
- Processing Delays: Final receipt may be affected by payment partners, banks, mobile-money providers, crypto networks, compliance checks, holidays, network issues, or recipient-bank timelines.
- Availability: Payment methods, payout rails, currencies, and settlement timelines vary by country, user eligibility, verification level, payment partner, and regulatory requirements.
You must not use payment requests, virtual accounts, or crypto payment options to disguise prohibited products, money laundering, sanctions evasion, fraud, or any unlawful activity.
You may not use VSL Market to list, source, promote, request payment for, or complete transactions involving:
- Illegal, counterfeit, stolen, unsafe, misleading, or infringing products.
- Weapons, explosives, controlled substances, illegal drugs, human trafficking, forced labour, wildlife contraband, or other prohibited goods.
- Regulated goods or services without the required licences, approvals, documentation, and lawful sales process.
- Fraud, phishing, money laundering, terrorist financing, sanctions evasion, deceptive payments, fake accounts, fake engagement, or manipulated reviews.
- Harassment, threats, hate, exploitation, spam, scraping, security abuse, or attempts to disrupt VSL Market infrastructure.
We may remove listings, restrict payment tools, delay or refuse payout support, suspend accounts, preserve records, or report activity where required by law or partner rules.
- You retain ownership of content you submit, but you grant VSL Market a licence to host, display, format, promote, translate, analyse, and distribute that content as needed to operate the Platform.
- You must have the rights to images, logos, catalogues, product descriptions, certificates, and other materials you upload.
- You must not use another vendor's brand, certification, factory photos, or product images in a misleading way.
- You may not copy, reverse engineer, scrape, resell, or misuse VSL Market software, designs, data, or trademarks.
Buyer-seller disputes are primarily between the buyer and the vendor or manufacturer. VSL Market may review reports, provide transaction records, restrict abusive accounts, or coordinate with payment partners where possible, but we do not guarantee refund recovery after funds have been released or where payment occurred outside VSL Market's supported rails.
- Vendors must respond honestly to refund, delivery, quality, and production complaints.
- Buyers should keep evidence such as quote records, invoices, payment references, messages, delivery documents, photos, videos, and inspection reports.
- Chargebacks, reversals, and dispute outcomes may be controlled by banks, card networks, payment processors, mobile-money providers, or crypto network rules.

To protect buyers, vendors, manufacturers, payment partners, and the Platform, VSL Market may monitor activity, review listings, request documentation, pause features, remove content, restrict accounts, or preserve records when we detect risk, abuse, or policy violations.
We may cooperate with banks, payment partners, regulators, courts, law enforcement, and trusted compliance providers where required or reasonably necessary.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VSL MARKET DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, PRODUCT QUALITY, MANUFACTURING CAPABILITY, DELIVERY PERFORMANCE, AND BUYER OR SELLER CONDUCT.
VSL Market is not liable for indirect, incidental, special, consequential, exemplary, lost-profit, production-delay, lost-order, customs, logistics, bank-delay, payment-partner, or buyer-seller dispute damages arising from your use of the Platform.
We may update these Terms as VSL Market evolves. Continued use of the Platform after an update means you accept the updated Terms. These Terms are governed by the laws of the jurisdiction where VSL Market is incorporated, unless applicable consumer, data, payment, or regulatory law requires otherwise.
